Claire, a firm

and acquisitions in a broad range of industries. She has substantive
knowledge of the Securities Act of 1933, the Securities Exchange Act of
1934, Delaware General Corporation Law and NASD issuer regulations, and
has experience with public company SEC mandatory disclosure,
including annual reports on Form 10-K, quarterly reports on Form 10-Q,
